1. Definitions

- "Client" or "You" refers to any individual or organization that engages our services or uses our website
- "We," "Us," or "Our" refers to Altruvia and its authorized representatives
- "Agreement" means these Terms and Conditions together with any service engagement letter or contract
- "Website" refers to the Altruvia website and any associated digital platforms
2. Acceptance of Terms
By accessing our website, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services or website.
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are representing an organization, you confirm that you have the authority to bind that organization to these terms.
3. Service Description
Altruvia provides legal services related to the establishment and operation of foundations and associations in Thailand, including:
- Foundation registration under the Thai Civil and Commercial Code
- Association registration with relevant Thai authorities
- Ongoing compliance and reporting support
- Governance consulting and documentation
- Charter and bylaw preparation
- Regulatory coordination
Service availability may be subject to eligibility requirements and our capacity to accept new engagements. We reserve the right to decline service requests at our discretion.
4. Client Engagement Process
4.1 Initial Consultation
Services begin with an initial consultation to understand your requirements. This consultation does not create a client relationship until both parties execute a formal engagement agreement.
4.2 Engagement Agreement
Formal services commence upon execution of an engagement letter specifying the scope of services, fees, timeline, and other relevant terms. The engagement letter, together with these Terms and Conditions, constitutes the complete agreement between the parties.
4.3 Information Requirements
You agree to provide accurate, complete, and timely information necessary for service delivery. Failure to provide required information may delay services or affect outcomes, for which we bear no responsibility.
5. Fees and Payment
5.1 Service Fees
Fees for services are specified in the engagement agreement and are typically structured as fixed fees for defined scopes of work. Annual compliance services may be billed on a recurring basis.
5.2 Payment Terms
Fees are payable in Thai Baht unless otherwise agreed. Payment schedules are outlined in engagement agreements and may include advance payments or milestone-based billing. Invoices are due within 30 days unless otherwise specified.
5.3 Additional Costs
Government fees, translation costs, notarization expenses, and other third-party charges are billed separately at cost. You authorize us to incur reasonable expenses necessary for service delivery.
5.4 Late Payment
Overdue amounts may be subject to interest charges of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances.
6. Client Responsibilities
Clients agree to:
- Provide accurate and complete information for service delivery
- Respond promptly to requests for information or documentation
- Review draft documents and provide timely feedback
- Comply with all applicable laws and regulations
- Maintain confidentiality of sensitive information shared during the engagement
- Pay fees and expenses according to agreed terms
- Notify us promptly of any changes affecting the engagement
7. Intellectual Property
7.1 Client Documents
Upon full payment of fees, you own all documents specifically prepared for your organization including charters, bylaws, and registration applications. We retain the right to use non-confidential work product as reference materials.
7.2 Our Materials
Templates, methodologies, processes, and general legal knowledge remain our intellectual property. You receive a non-exclusive, non-transferable license to use documents prepared for your specific purpose.
7.3 Website Content
All website content including text, images, logos, and design elements are protected by copyright and may not be reproduced without permission.
8. Confidentiality
We maintain strict confidentiality regarding client information in accordance with professional legal standards and our Privacy Policy. Client information is disclosed only as necessary for service delivery, as required by law, or with your explicit authorization.
You agree to maintain confidentiality regarding our methodologies, pricing structures, and other proprietary information shared during the engagement.
9. Disclaimers
9.1 Professional Service
We provide professional legal services with reasonable skill and care. However, we cannot guarantee specific outcomes including regulatory approvals, approval timelines, or future compliance with evolving regulations.
9.2 Regulatory Changes
Thai laws and regulations may change after service delivery. We are not responsible for ensuring continued compliance with regulations that change after completion of our services unless engaged for ongoing compliance support.
9.3 Third-Party Actions
We are not liable for actions or decisions of regulatory authorities, government agencies, or third parties. Processing times and approval decisions are beyond our control.
9.4 Website Information
Website content is for general information purposes only and does not constitute legal advice. Specific legal guidance should be obtained through formal consultation.
10. Limitation of Liability
To the maximum extent permitted by Thai law, our liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages including lost profits, lost opportunities, or business interruption.
This limitation does not apply to liability for gross negligence, willful misconduct, or where such limitation would be prohibited by applicable law.
11. Indemnification
You agree to indemnify and hold harmless Altruvia and its representatives from claims, damages, or expenses arising from your breach of these terms, provision of inaccurate information, or violation of applicable laws in connection with your organization's operations.
12. Termination
12.1 By Client
You may terminate the engagement at any time with written notice. You remain responsible for fees for services completed and reasonable costs incurred prior to termination.
12.2 By Us
We may terminate the engagement with reasonable notice if continuation would violate professional obligations, if you fail to pay fees when due, or if you fail to provide necessary information or cooperation.
12.3 Effect of Termination
Upon termination, we will provide work product completed to date upon payment of outstanding fees. Provisions regarding confidentiality, intellectual property, and payment obligations survive termination.
13. Dispute Resolution
13.1 Governing Law
These Terms and Conditions are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the Thai courts.
13.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good-faith resolution of disputes through direct discussion.
13.3 Jurisdiction
Any legal proceedings shall be brought in the courts of Bangkok, Thailand, and you consent to the personal jurisdiction of these courts.
14. General Provisions
14.1 Entire Agreement
These Terms and Conditions, together with any engagement agreement, constitute the entire agreement between the parties and supersede all prior understandings.
14.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
14.3 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
14.4 Assignment
You may not assign or transfer your rights or obligations without our written consent. We may assign our rights to affiliated entities or successors.
14.5 Notices
Notices shall be in writing and delivered to the addresses specified in engagement agreements or via email to designated contacts.
15. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated via our website and to active clients via email. Continued use of our services after changes constitutes acceptance of the modified terms.
For existing engagements, the terms in effect at the time of engagement continue to apply unless mutually agreed otherwise.
